Engagements.
Legal Alliance has
thus far undertaken and completed the following projects:
(i)
prepared a legal survey of the treatment and implementation of certain
laws in the fifty different states for a US based law firm;
(ii) review of software contracts for a US based software company
expanding its operations into Southeast Asia and India;
(iii) drafted licensing agreements and related documents for US based
software company establishing its business in India;
(iv) provided research on US laws and drafted contracts based on US
laws (in collaboration with a US based law firm) for a Philippine based
company establishing a branch in the US; and
(v) prepared summary and comparative tables of insurance laws of New
South Wales, Australia for Australian client;
(vi) reviewed share purchase agreements relating to acquisition of
companies in offshore jurisdictions such as in the United States and
the Netherlands Antilles;
(vii) reviewed documents and assisted in due diligence relating to an
acquisition of a company established in a tax haven jurisdiction. This
involved examination of documents such as its Memorandum of Association
and other constitutive documents, summarization of rights and
obligations of stockholders such as restrictions on the sale of shares,
rights of first refusal and stock options and warrants. Reviewed
all documents relating to share transfers and appropriate government
filings to determine possible defects in reported share ownership and
possible contingent liabilities, respectively. In addition, Legal
Alliance reviewed and summarized the relevant corporate laws of the
jurisdiction. Legal Alliance accessed available databases via
the
internet and directly liaised with the government authorities via phone
calls and emails.
(viii) reviewed the laws of succession under the Civil Code of Japan in
conjunction with the estate proceedings of a deceased Japanese
national. A summary of these laws was prepared.
